Article 2 Purpose of contract

Article 3 Effectiveness and scope of application of the agreement

3.One, By clicking on the network page to confirm or choose to accept this agreement by other means, the distributor and tonis platform have reached an agreement and agreed to accept all the agreed contents of this agreement. This agreement will have legal effect between the distributor and tonis platform after the settlement Deposit deposited by the distributor is stopped successfully.

Tonis platform has the right to adjust the contents of this Agreement and relevant rules from time to time by means of modification and update, and the relevant contents will be published on the website or notified to you by other means (including but not limited to on-site letter, SMS, email, fax, etc.). Unless you express and inform tonis platform that it is not willing to accept the adjusted content, the adjusted content will take effect on the date of publication or as otherwise specified in the notice.

Article 4 Deposit and stop payment of margin

If the distributor needs to make up the deposit due to the compensation event, tonis platform has the right to instruct the company to continue to stop payment of the balance in the distributor's account to make up the deposit. If the balance of the distributor's account is insufficient, it shall be within seven days after the occurrence of the compensation event(7) Make up within days; if the distributor needs to make up the deposit due to the penalty of illegal deduction of points and the increase of refund rate, the Distributor shall make up the deposit within seven (7) days from the date of the above-mentioned event. During the period of insufficient deposit, tonis platform has the right to suspend or terminate all services published by distributors.

4.2, The distributor irrevocably authorizes the company to stop the payment of the deposit in accordance with this agreement in the account of the distributor according to the instruction of tonis platform.

Article 5 Management of margin and use

5.One, In addition to the stop payment of margin, toonies platform has the right to issue instructions to the company on management of margin and use according to the following provisions, and use them according to the following agreed purposes and procedures:

If the distributor violates the national laws, regulations, policies, tonis platform service agreement and tonis platform management standards, any provisions of the company, or violates the distributor's commitment, or the account is in arrears, tonis platform has the right to directly use the deposit to pay the user in advance according to its independent judgment and without responsibility.

5.One,3. If the distributor's deposit is insufficient for deduction, the Distributor shall pay the additional amount of deduction by itself. The distributor explicitly agrees that if the deposit is insufficient for deduction and fails to pay the additional amount of arrears to tonis by itself,Then tonis platform has the right to unilaterally suspend or terminate all or part of the services provided to the distributor, and continue to require the distributor to bear the compensation liability.

In such cases, tonis platform has the right to claim compensation from the distributor, including but not limited to the following two ways: (One) require the distributor to repay the same amount of money as the deduction to the toonies platform within 14 (one4) days after the compensation of the toonies platform, so as to compensate the loss suffered by the toonies platform, and make up the deposit within the specified time. (2) require the company to pay the money under the distributor account directly to the toonies platform, so as to compensate the loss suffered by the toonies platform; For example, tonis platform has the right to uniformly suspend or terminate all or part of the services provided to the distributor, and continue to require the distributor to bear the compensation liability

5.One,5. If the distributor violates the tonis platform service agreement and tonis platform management specification and/In case of any loss (including but not limited to litigation compensation, litigation costs, lawyer fees, etc.) caused to toonies platform or its affiliated companies due to other agreements signed by distributor and toonies platform, toonies platform has the right to directly deduct the amount equivalent to the loss of toonies platform or its affiliated companies from the security deposit according to its independent judgment without liability, Before the amount of loss is not clear, toonies platform has the right to stop paying the deposit indefinitely until the amount of loss is clear. If the deposit is not enough to compensate the loss of toonies platform or its affiliated companies, toonies platform has the right to require the company to pay the amount under the distributor account directly to toonies platform, In order to compensate the losses suffered by toonies platform; if it is still insufficient to compensate for the losses, toonies platform has the right to require the company to close all or part of the functions of the distributor account indefinitely until the distributor assumes the compensation liability

5.One,Six The distributor's compensation liability to users, any third party and tonis platform is not limited to the amount of deposit paid by the distributor. Tonis platform does not undertake any compensation or compensation obligation to users or any third party, but has the right to use the distributor's deposit to protect the interests of users or other obligees according to the provisions of this agreement.

Article 6 Release and stop payment of security deposit

SixOne, Unless otherwise agreed in this agreement, the distributor applies for withdrawal from the tonis platform independently:

SixOne,One. If there is no transaction, after the distributor applies for exit and is approved by tonis platformOneWithin months, tonis platform will instruct the company to release the stop payment margin;

Article 7, Entrusted payment

7.One, Once this Agreement comes into effect, it means that the distributor has fully understood and agreed to grant authorization to the company. The distributor authorizes the company to operate the deposit and balance in the distributor's account according to the instructions issued by the toonies platform (including forwarding to the Bank of the bank account of which the distributor has opened the cartoon function and assisting in completing the operation of the payment instructions), This authorization shall be legally binding and shall not be revoked during the term of this agreement

7.2, According to the agreement of this agreement, tonis platform has the right to Issue the following types of instructions:

7.3, As a value-added service provided by the company for the account of the distributor, the company will not bear any legal liability for the performance of any authorized act unless the company fails to perform the operation in accordance with the distributor's authorization or the execution instruction is wrong, The Distributor shall not claim rights against the company in litigation, arbitration or any other form of dispute resolution. Such disputes shall be settled by the distributor and toonies platform through negotiation or judicial channels

Article 8, distributorShopee store hosting

8. One distributor applies for store trusteeship in toonies personal center shopee authorization, and fills in the user name, password and profit rate of the store. Toonies will be responsible for assisting in the operation of the store, goods on shelves, store decoration and store activity settings

8.2 to apply for shopee store hosting, you need to make sure that the balance is more than 500 yuan (including 500 yuan) in the toonies personal account for the first time, which is used for the deduction of shopee orders. If the balance of distributortoonies account is less than 500 yuan, the system will prompt that the application for hosting fails and you need to recharge first. If the distributor applies to quit the store hosting, he can apply for balance withdrawal in toonies, The withdrawal will be completed within one-3 working days

8.3 the Distributor shall not refuse to pay the total order delivery expenses incurred during the period of applying for shopee store hosting for any reason, which must be borne by the distributor himself. The Distributor shall pay attention to the balance reminder pushed by toonies, recharge the balance in time, and settle the order bill
